GBNCo Terms of Service – Supplying Services
1. Supplying Services
(a) GBNCo will supply each Service as described in, and subject to, the provisions of the relevant Service Schedule.
(b) Subject to execution of the relevant Service Schedule by both parties, the supply of individual Services will commence on the Start Date and continue for the Minimum Term (no contract, 12 months, or 24 months) and thereafter until terminated in accordance with the Service Schedule.
(c) GBNCo will use reasonable efforts to meet any service commencement dates advised to Customer, but such dates are non‑binding estimates only. GBNCo and its Affiliates will not be liable for any failure to meet those dates.
(d) GBNCo is not obliged to commence any work to supply the Services until Customer has satisfied all pre‑conditions, including payment of set‑up fees, provision of security (if required), connection to GBNCo infrastructure, and obtaining all necessary consents.
(e) GBNCo may cancel an accepted order without liability if it determines that supply is not practical for commercial or technical reasons.
(f) Customer authorises GBNCo to undertake work and appoints GBNCo and its agents to deal with third parties as required to supply the Services.
(g) GBNCo will supply the Services using technologies and infrastructure it considers appropriate, including those provided by Affiliates and third parties.
(h) GBNCo may change the technology, infrastructure, APIs, systems, or manner of supply where necessary for security, technical, operational, or legal reasons. Customer is responsible for adapting Customer infrastructure to such changes.
(i) GBNCo will supply the Services using reasonable care and skill. Except as required by law or agreed in a Service Schedule, GBNCo does not guarantee voice quality, data speeds, continuous availability, or delivery of communications. Customer and Users access material via GBNCo infrastructure at their own risk.
(j) Customer is responsible for selecting, supplying, maintaining, and testing Customer infrastructure, and following GBNCo’s reasonable directions. Customer must make upgrades required to avoid disruption or interference.
(k) Customer must investigate faults and determine whether they are Customer’s or GBNCo’s responsibility. Customer must remedy faults on Customer infrastructure. GBNCo may assist at Customer’s cost.
(l) Customer must provide timely and safe access to premises for GBNCo and its contractors, and ensure a qualified representative is available onsite.
(m) Each party must provide information and assistance reasonably required to enable supply of the Services.
(n) GBNCo may monitor the Services where permitted or required by law and may intercept communications where legally required.
(o) Each party must cooperate with lawful requests from government, regulatory authorities, emergency services, law enforcement, or courts.
(p) GBNCo may take steps to manage high demand on its infrastructure and will use reasonable efforts to give prior notice. Customer must notify GBNCo of events likely to cause high demand.
(q) Customer must obtain GBNCo’s prior written consent before using a Service for high‑volume purposes such as call centres.
(r) Customer is responsible for managing channels and trunk capacity to ensure acceptable service levels.
(s) Title to equipment purchased from GBNCo passes on full payment; risk passes on delivery. Customer is responsible for installation, maintenance, and repair unless agreed otherwise.
2. Compliance with Australian Law and Standards
(a) GBNCo will supply the Services in accordance with applicable Australian laws, including the Telecommunications Act 1997, the Competition and Consumer Act 2010, and ACMA requirements.
(b) Nothing in these Terms excludes or modifies rights under the Australian Consumer Law. Liability is limited as permitted by law.
(c) GBNCo will handle Customer and User information in accordance with its Privacy Policy and the Privacy Act 1988 (Cth), including the Australian Privacy Principles.
(d) GBNCo may implement traffic management or service restrictions where required for network integrity, security, or legal compliance.
